A free template constitution and guide booklet for Companies Limited by Guarantee (CLG)

With the commencement of the 2014 Companies Act, all CLG companies need to review and update their memorandum and articles of association (their constitution) to ensure that it is compliant with the new Companies Act. Developing and reviewing the memorandum and articles of association can be a complex, time consuming and not to mention expensive task for non-profit organisations.

 

The standard constitution template and guidance booklet is being developed by Dechert in conjunction with Carmichael Centre and the Thomson Reuters Foundation. It will be a free resource to charities, social enterprises and other non-profit organisations who currently have or plan to adopt a CLG legal structure for their organisations.

 

Carmichael Centre are delighted that through TrustLaw, the Thomson Reuters Foundation’s global pro-bono legal programme, we have secured the professional services of Dechert, a global specialist law firm with offices in the IFSC in Dublin, to develop a standard constitution template and guidance booklet for non-profit organisations who have a Company Limited by Guarantee (CLG) legal structure.

 

Diarmaid Ó Corrbuí CEO of Carmichael Centre, welcoming this pro-bono legal support from Dechert, said that the template and guidance booklet will provide a much needed resource to the non-profit sector thanks to TrustLaw’s valuable pro-bono legal programme.

 

The template and guidance booklet will be available in March 2016. More details will be communicated closer to the launch date.
